Allnite Art Project Syndicated Comic Strip Contract

Section I. This Service Agreement (The Contract) is enacted between Parnell Nelson, (The Artist) dba The Allnite Art Project, 227 Summit Street, Lodi, WI 53555 and the undersigned (The Client) whose information appears in Section II.

Section II. The Client referred to in this Contract is the following publication:

Section III. The Artist agrees to deliver to the Client, on a weekly basis, color and black and white versions of the original Comic Strip, It’s Another Fine Day, (The Comic) either by means of Email sent by the Artist or by download by the Client from the website, finetooned.net.

Section IV. For the agreed upon fee, the Artist grants to the Client one-time use rights to reproduce the Comic in print media (Newspaper) and / or electronic media (The Internet). The Artist may grant further publication and use rights to the Client for an additional negotiated fee upon written request (including email communication) from the Client. The Artist retains all rights not specifically granted and all rights to, and all control of, the original comics artwork.

Section V. The Client agrees not to rent, sell, provide or otherwise distribute or dispose of the Comic with the exception of the rights granted in Section IV.

Section VI. The Client agrees to pay to the Artist a publication fee based on the following fee schedule:

Print Publication and/or  Electronic Publication …………….…...$10.00 US / Week

Client will be billed by the Artist on a Monthly basis by printable Email Invoice.

(Paper invoices sent by US Mail are available). Payment to The Allnite Art Project is due within 30 days of Invoice.

Payments later than 30 days may be charged interest at the rate of 1.5% (one and one half per cent) per month until payment is made. Accounts 60 days or more past due may be subject to Contract termination at the discretion of the Artist.

Section VII. Client agrees to provide the Artist with tear sheets that include the Comic when requested. Tear sheets can accompany payment and need not be sent separately.

Section VIII. This Contract is automatically renewable on an annual basis on the anniversary date of the Contract’s inception. Contract may be cancelled by either party with 30 days written notice of the desire to terminate the agreement.

This Contract constitutes the entire understanding and agreement between the parties and may be altered or amended only by written agreement of the signing parties and not by oral agreement or the actions of representatives of any third party.
